Sukoon Insurance owns 94.6576% of Sukoon Takaful and consolidates it in full, so the AED248.839m of takaful revenue reported here for 2025 is already sitting inside the AED6,389.447m the parent reported for the same year. Only 5.3424%, spread across 66 other shareholders, is outside the parent's numbers. And the parent is itself 64.7637% owned by Mashreq Bank, which consolidates Sukoon in turn, so a single dirham of contribution written in Dubai appears in three separate sets of listed accounts. Anyone building a sector total from DFM filings is adding the same business to itself.

The equity that looks repaired has already absorbed AED164m

Gross Qard - the interest-free loan the shareholder fund makes to the participant fund when participants run a deficit - was AED47.902m in 2021, AED88.879m in 2022, AED159.125m in 2023, AED164.254m in 2024 and AED164.406m in 2025, then AED163.757m at June 2026. It is fully provided and carried at nil. Against accounting equity that balance is 71.69% at the year end and 67.33% at the half year. The participant deficit that created it has largely stopped growing - the annual figures run negative AED9.502m, negative AED40.977m, negative AED70.246m, negative AED5.129m and negative AED0.152m, with a AED0.648m surplus in the half year - but a smaller current deficit is not a repayment, and the AED164m already handed over remains written off inside the reported book value.

Three names, two standards and one change of owner in five years

Under the old contribution presentation 2021 showed profit of AED6.438m, assets of AED488.926m and equity of AED309.751m. Original 2022 showed a loss of AED29.965m, assets of AED462.492m and equity of AED251.574m; restated, the same year reads negative AED30.677m, AED460.826m and AED251.448m. Then came a loss of AED76.530m on assets of AED372.935m and equity of AED175.321m in 2023, profit of AED18.987m on AED429.774m and AED194.800m in 2024, and profit of AED35.309m on AED586.295m and AED229.335m in 2025. Sukoon Insurance took 93.04% during 2023 and a further 1.57% in 2024; the company was still called Arabian Scandinavian Insurance Company - Takaful - ASCANA until the name changed on 14 June 2024. It was incorporated in 1978, holds Central Bank licence number 6 dated 15 December 1984 and has share capital of AED154,000,000.

A 31.99% margin that no conventional insurer would recognise

Takaful revenue of AED248.839m produced AED132.125m before retakaful in 2025, and after a net retakaful expense of AED52.513m the service result was AED79.612m - a margin of 31.99%. The half year ran AED152.018m, AED72.208m, AED29.836m and AED42.372m, a margin of 27.87%. That number is far above anything a conventional motor and medical book earns because the participants, not the shareholder, carry the claims; the shareholder's share arrives as a wakala fee, 25.58% of gross written contributions in 2025 within a contractual band of 5% to 30%, plus a mudarib share of investment returns. Retakaful took 39.74% and 41.32% of the pre-retakaful result. Retakaful assets equalled 29.08% of takaful liabilities at the year end and 25.88% at June, and no operator behind them is named.

Capital measured three ways, dated March, printed in a June report

At 31 March 2026 basic own funds of AED208.002m covered a minimum capital requirement of AED100m by 208.00%, a solvency capital requirement of AED57.213m by 363.56% and a minimum guarantee fund of AED39.964m by 520.47%, against a 100% floor on each. Three coverage percentages, three different denominators, and the highest of them says the least about risk. The June position was not finalised, so the March figures are what the half-year filing carries, and the 2025 annual report likewise fell back on a September date. Shareholder investment income supplied 42.28% of pre-Qard income for the year and 51.59% for the half. Operating cash flow of AED74.718m and AED42.990m looks strong until the takaful liability movement is separated out: AED40.528m of the half-year figure, or 94.27%. EY signed an unmodified 2025 opinion; the general meeting approved no distribution at all.

Where the Sukoon Takaful record ends

There is no conventional combined, loss or expense ratio, no reserve development, no named retakaful operator with a rating, no plan or timetable for recovering the AED164m of Qard, no finalised June capital position and no investment portfolio breakdown in the verified package. With 67 shareholders in total, the practical tradability of the 5.3424% minority is untested. This page sets no value on the shares and recommends nothing.
